After successful closing: Deutsche Börse to initiate SimCorp squeeze-out – delisting requested


Following the successful closing of the SimCorp public takeover on Friday, 29 September 2023, Deutsche Börse has today exercised its right to initiate a compulsory acquisition of all SimCorp shares held by the remaining minority shareholders.
 
Therefore, Deutsche Börse requests all remaining SimCorp shareholders to transfer their shares within a period of four weeks expiring on 30 October 2023. The compulsory acquisition will be completed at a price of DKK 735 for each SimCorp share and payment will be made in cash. Settlement of the transferred SimCorp shares will take place after expiry of the four-week period.
 
In addition, SimCorp has today requested Nasdaq Copenhagen to remove its shares from trading and official listing. SimCorp has requested that the last day of trading and official listing will be 30 October 2023, the last business day within the four-week compulsory acquisition notice period.
